1. Business Entity

These Terms of Service are entered into between you and The Upgrade Society Enterprises (“we,” “us,” “our”),
the legal entity operating The Upgrade Society membership programme. The name “The Upgrade Society
Enterprises” must match identically across all payment, legal, and advertising accounts including Stripe, Meta
Business Account registration, and all compliance pages. Mismatches are a primary cause of chargeback
disputes being resolved against the merchant.

2. Acceptance of Terms

By submitting an application, placing a deposit, or making a full payment, you confirm that you have read,
understood, and agree to these Terms of Service in full. If you do not agree, do not complete payment

3. What Membership Includes

  • A confirmed Founding Member allocation in The Upgrade Society grants access to the following upon launch:
    The Upgrade Society Playbook — a 90-minute cinematic system covering private jets, hotels, flights, exotic vehicles,  fashion, business credit, real estate cash flow, and tax optimisation. Exclusive to members. Not
    available for separate purchase.
  • Access to The Upgrade Society concierge team for jet, flight, hotel, and lifestyle bookings, subject to the
    service fee structure described in Section 7.
  • Weekly deal drops — time-sensitive luxury opportunities delivered directly to members inside the platform.
  • Private member community on Circle.so, including access to member-only events and the Founder’s Room
    (Founding Members only).
  • Founding Member privileges: Year 2 renewal rate permanently locked at $997/year regardless of future
    standard renewal pricing.

4. When Access Is Granted

Full platform access is granted on the confirmed launch date. The confirmed launch date is June 1st, 2026.
Members will be notified by email at the address provided at application no less than 14 days prior to the launch
date. Access credentials are delivered by email from support@upgsociety.com.

5. Allocation Policy

Founding allocations are limited to 50 members. Allocations are confirmed in order of payment receipt.

  • A $499 fully refundable deposit secures your allocation pending balance payment. The remaining balance of
    $4,501 is due on or before the confirmed launch date. Failure to pay the balance by the due date may result
    in allocation release and deposit refund.
  • Full pay-in-full payment of $4,501 confirms your allocation immediately with no balance outstanding.
  • Allocations are personal and non-transferable. They may not be sold, gifted, or assigned to a third party.
  • The allocation count is manually managed. Published allocation numbers reflect confirmed payments at the time of last update and may not reflect real-time availability.

6. Refund Policy

Deposits and full payments are fully refundable by written request submitted to support@upgsociety.com prior to
the confirmed launch date of June 1st, 2026. Refund requests must be submitted by email — verbal, DM, or
social media requests do not constitute written requests under this policy. Refunds are processed within 5
business days of receiving a written request. Full details are available at upgsociety.com/refund.
Launch Delay Backstop: If the confirmed launch date is delayed beyond September 1st, 2026, a full refund is
available to any depositor on written request, regardless of whether the standard refund window has closed. This
backstop is unconditional.

7. Concierge Service Fees

Concierge bookings are subject to the following fee structure, disclosed in full inside the Society upon launch:

  • Request fee — charged before sourcing begins: hotels and commercial flights $99; private aviation $299; complex or bespoke bookings $499. Request fees are refunded in full if no suitable option is found. If an option is found and the member declines to book, the request fee is retained for work performed.
  • Service fee — charged on completed bookings: private jets $1,000; commercial flights $500; hotels $99.
    Service fees are separate from and in addition to the cost of the booking itself.
  • Elite Tier members (where applicable): request fees and service fees are eliminated entirely. Initiation and
    renewal fees cover unlimited concierge access.

8. Intellectual Property

All content made available through The Upgrade Society platform, including but not limited to The Upgrade Society Playbook, deal drops, strategy materials, and community content produced by The Upgrade Society Enterprises, is the proprietary intellectual property of The Upgrade Society Enterprises. Members are granted a
personal, non-transferable licence to access and use this content for their own private benefit. Members may not reproduce, distribute, resell, share publicly, or create derivative works from any Society content without prior
written permission. Breach of this clause is grounds for immediate membership termination without refund.

9. Member Conduct and Removal

Members agree to engage with the Society community and concierge services in good faith. The Upgrade Society Enterprises reserves the right to terminate a membership and revoke platform access in the event of:

  • Harassment, abuse, or threatening behaviour toward any member, staff, or concierge team.
  • Fraudulent activity including disputed payments, chargebacks initiated in bad faith, or misrepresentation of
    identity.
  • Reproduction, distribution, or unauthorised sharing of any proprietary Society content.
  • Any conduct that materially undermines the integrity or reputation of the Society or its members.

Membership termination for conduct violations is not subject to refund. The Upgrade Society Enterprises will
provide written notice of termination with the reason.

10. Limitation of Liability

To the maximum extent permitted by applicable law, The Upgrade Society Enterprises shall not be liable for any
indirect, incidental, special, consequential, or punitive damages arising from or relating to your membership, use
of the platform, reliance on content, or concierge bookings — including but not limited to loss of profit, loss of
data, or loss of opportunity — even if The Upgrade Society Enterprises has been advised of the possibility of such damages.

The total aggregate liability of The Upgrade Society Enterprises to any member for any claim arising out of or
relating to membership shall not exceed the total amount paid by that member in the 12 months preceding the
claim

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or fraudulent
misrepresentation, or any other liability that cannot be excluded by law.

11. Disclaimer of Warranties

The Upgrade Society platform, Playbook, concierge services, deal drops, and all related content are provided “as
is” and “as available” without warranty of any kind, express or implied. The Upgrade Society Enterprises does not
warrant that the platform will be uninterrupted or error-free, that results described in marketing materials will be
achieved by every member, or that deal drops will be available in all markets or at all times.

Savings figures, price contrasts, and results described in marketing materials are based on real documented
transactions. Individual results depend on member action, timing, market availability, and other factors outside
The Upgrade Society Enterprises’ control. Past results are not a guarantee of future results.

12. Dispute Resolution

In the event of a dispute arising from or relating to these Terms or your membership, the parties agree to first
attempt resolution through good-faith communication. Written notice of dispute should be sent to
support@upgsociety.com. The Upgrade Society Enterprises will respond within 10 business days.

If the dispute is not resolved within 30 days of written notice, either party may pursue resolution through binding
arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration
shall take place in Florida, United States. The arbitrator’s decision shall be final and binding.

Class action waiver: You agree that any dispute resolution proceedings will be conducted only on an individual
basis and not in a class, consolidated, or representative action.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States,
without regard to its conflict of law provisions. Any legal proceedings not subject to arbitration under Section 12
shall be brought exclusively in the courts of Florida.

14. Changes to These Terms

The Upgrade Society Enterprises reserves the right to update these Terms at any time. Members will be notified
of material changes by email at least 14 days before changes take effect. Continued membership after the
effective date of updated Terms constitutes acceptance.
